- Director management
A Company is considered as Cyprus Tax resident company if its effective management and control is carried out within Cyprus. Two of the key criteria, among other, to demonstrate that the effective management and control of a Cyprus tax resident company is carried out within Cyprus are:
- the majority of the directors serving on the Company’s Board are Cyprus tax residents and
- the major management decisions of the company are taken in Cyprus
- Secretary
Every Cyprus company must have a secretary who is responsible for maintaining the company’s statutory registers and records in accordance with the laws of Cyprus. The secretary shall act in accordance with the Memorandum and Articles of Association of the Company and under the instructions of the board of directors in order to prepare and file all statutory forms, resolutions and annual returns with the Registrar of Companies and keep proper books and records at the Registered office of the company, as required by the Company Law.

- Manage the Assets under the trust in accordance with the provisions of the Trust Deed

- Nominee
Hold shares in trust for the benefit of the client and deal with, or dispose of the shares, in accordance with the shareholders’ agreement (if available) or other mandate between the shareholders themselves or the shareholders and us, Professio Cogitantium Ltd (PCL). As a highly regulated company, we will not share any personal information of the beneficial owners(s) under any circumstances, unless we are obliged to do so by the laws and regulations (UBO registry, AML, CRS, FATCA, etc.).
